The terms governing access to and use of HappyTip’s QR-based digital tipping, appreciation and staff-recognition platform.

1.Introduction and acceptance of Terms

These Terms and Conditions govern access to and use of the HappyTip website, QR experiences, business accounts and related services. HappyTip is developed and maintained by KODLABS PRIVATE LIMITED, a company incorporated in India under CIN U62010HP2026PTC012674 (referred to as “HappyTip”, “we”, “us” or “our”).

By using HappyTip, creating or managing an account, being onboarded as a Service Professional, or confirming a Tip, you agree to these Terms. If you do not agree, do not use the relevant service.

2.About HappyTip

HappyTip is a QR-based digital tipping, appreciation and staff-recognition platform for hospitality and service-led businesses in India. It may support restaurants, cafés, hotels, resorts, salons, spas, wellness centres, valet services, event venues, clubs, hospitality groups and other service-led businesses.

2.1.Definitions

“Guest” or “Tipper” means a person who voluntarily makes or attempts a Tip. “Service Professional” means an employee, contractor, worker or team member shown as a potential recipient. “Business Customer” means an organisation using HappyTip. “Business Owner” means its authorised owner, manager, employee or representative. “Website Visitor” means a person browsing the public website. “Tip” means a voluntary appreciation payment. “Payment Partner” means an authorised third-party payment provider enabled for the relevant transaction.

3.Eligibility and authority

You must be at least 18 years old and legally capable of entering into a binding arrangement, or use HappyTip with legally valid authorisation. A person acting for a Business Customer confirms that they are authorised to bind and manage that organisation.

3.1.Types of users

Different features and responsibilities apply to Guests, Service Professionals, Business Customers, Business Owners and Website Visitors. References to “you” apply to the category relevant to your use.

3.2.Account registration

Business and business owner features may require an account, accurate registration information and identity or authority checks. Users must protect login credentials, use individual access where provided, and promptly report suspected compromise.

3.3.Business Owner responsibilities

A Business Owner must act within granted authority, assign access on a need-to-use basis, review permissions, keep records current and remove or disable access when a person changes role or leaves the organisation.

3.4.Service Professional onboarding

A Business Customer must have lawful authority and provide appropriate notices before adding a Service Professional’s personal, employment-related or payout information. Onboarding through HappyTip does not decide the person’s employment or contractor status.

3.5.Accuracy of business and staff information

Business Customers must keep legal name, outlet, staff, role, team, payout and QR information complete and accurate. HappyTip may request supporting information or restrict features when information appears incomplete, inconsistent or outdated.

4.Nature of voluntary Tips

A Tip is an optional expression of appreciation. A Guest chooses whether to Tip, whom to select and how much to pay. A Tip does not guarantee better service, preferential treatment, future benefit, a review outcome or any other advantage.

4.1.No compulsory tipping

Businesses and Service Professionals must not force, pressure, mislead, shame or automatically opt a Guest into Tipping. No amount should be preselected without clear disclosure and an equally clear option to choose another amount or not Tip.

4.2.Relationship between Guest, Business and Service Professional

The underlying hospitality service is provided by the relevant Business Customer and its personnel, not by HappyTip. Questions about the quality, price or delivery of that underlying service should ordinarily be addressed to the Business Customer.

5.HappyTip’s role as a technology platform

HappyTip provides technology for QR access, recipient selection, payment initiation, reporting and related operations. HappyTip is not a bank and must not be understood as an RBI-authorised payment aggregator unless that authorisation is obtained and expressly disclosed.

6.Third-party payment processing

Payments may be processed by the Payment Partner, banks, UPI participants or payout providers under their own terms and regulatory obligations. They may handle KYC, authorisation, settlement, refunds, monitoring, risk controls and payouts.

6.1.UPI and other supported payment methods

HappyTip may make UPI or other supported methods available. Availability depends on the Guest’s device, payment application, bank, Payment Partner, transaction limits, network conditions and applicable rules.

6.2.Payment authorisation

Before confirming, the Guest must review the Business Customer and location, selected individual or team, Tip amount, applicable charges and total payable amount. The Guest authorises payment only through the bank, UPI application or Payment Partner interface.

Never provide a UPI PIN, OTP, ATM PIN, card PIN or banking password directly to HappyTip or to a Business Customer or Service Professional.

6.3.Successful, pending, failed and reversed transactions

Opening a payment application does not mean a Tip succeeded. HappyTip may show a transaction as successful, pending, failed or reversed using status information received from payment systems. A pending status should not be treated as final.

Banks or payment partners may later reverse or correct a transaction. Users should retain the transaction reference and review their bank statement before making a duplicate attempt.

6.4.Setup and onboarding charges

HappyTip may charge a one-time setup or onboarding fee starting from ₹499. The final amount may vary for QR materials, printing, installation, number of outlets, deployment requirements, configuration or customisation. The exact fee disclosed during onboarding or in a written commercial agreement applies.

7.HappyTip’s 7% platform commission

HappyTip currently plans to deduct a 7% platform commission from each successfully processed Tip. The applicable checkout, onboarding disclosure or signed commercial agreement will control if the model changes after appropriate notice.

7.1.Taxes and third-party charges

Taxes, payment-processing charges, payout charges, refund costs, chargeback costs or other third-party charges may apply where legally permitted and must be disclosed before implementation. No statement should be understood to mean that 100% of every Tip reaches one Service Professional.

Each Business Customer and Service Professional should obtain independent tax advice and meet applicable accounting, reporting, invoicing and withholding obligations. HappyTip does not provide a final tax conclusion.

8.Payout and settlement process

Eligible amounts may be paid or settled according to the configured model and the Payment Partner’s process. The expected timeline will be shown in the applicable onboarding, dashboard or commercial arrangement and remains subject to banks, UPI networks, holidays, technical systems, compliance checks, disputes and legally required holds.

8.1.Payout eligibility and KYC

A recipient or Business Customer may need to complete KYC, bank verification, tax or ownership checks required by HappyTip or the Payment Partner. Failure to provide accurate required information may delay or prevent payout.

8.2.Payout holds and compliance reviews

HappyTip or a Payment Partner may place a reasonable hold on an account or payout during fraud, KYC, ownership, sanctions, regulatory, chargeback, complaint or dispute review. Where lawful and practicable, the affected account will be told what further information is required.

8.3.Allocation of individual and team Tips

A Tip may be configured for an individual, department, shift team, pooled group or complete service team. The recipient shown at confirmation should reflect the selected configuration.

8.4.Business-configured Tip-distribution rules

Business Customers may configure individual, pooled, team or other legally permitted distribution models. The applicable model, deductions and timing must be communicated clearly to Service Professionals before their participation.

8.5.Responsibility for internal distribution disputes

HappyTip may display or execute the configuration selected by a Business Customer but is not responsible for undisclosed employment arrangements or unauthorised redistribution outside the platform. Internal allocation disputes should first be raised with the Business Customer, without limiting rights available under law.

9.Refunds

A Guest should request review promptly after discovering a duplicate transaction, demonstrable technical error, incorrect amount, wrong recipient or outlet, suspected unauthorised transaction or fraudulent QR redirection. The request should include the transaction reference, date, amount, bank or UPI evidence, selected recipient or outlet, and a clear explanation.

Approval depends on available evidence, payment-partner and bank rules, transaction status and whether funds have already been settled or distributed. HappyTip does not guarantee a refund once funds are settled or distributed, but will review the request fairly and explain the outcome where practicable.

9.1.Accidental or duplicate Tips

A Guest who believes a Tip was accidental or duplicated should avoid further attempts, retain proof and contact support@kodlabs.in promptly. HappyTip may ask the Payment Partner and Business Customer to verify whether more than one successful payment occurred.

9.2.Chargebacks and payment disputes

Chargebacks and bank disputes are governed by applicable payment-network and bank procedures. Users must provide truthful information. HappyTip may share relevant transaction records and may adjust, recover or hold amounts to reflect a valid reversal, chargeback or refund.

9.3.Fraud prevention

HappyTip and its providers may monitor transactions, devices, accounts and QR activity for fraud, security and compliance risks. Users must promptly report suspected account compromise, unauthorised transactions, manipulated records or unusual QR behaviour.

9.4.QR-code ownership and permitted use

HappyTip-generated QR codes, designs and routing technology remain subject to HappyTip’s intellectual-property rights. A Business Customer receives a limited right to display approved QR materials at authorised locations during its active service.

9.5.QR-code tampering and unauthorised replacement

Copying, substituting, covering, redirecting, altering or placing a HappyTip QR without authority is prohibited. Suspected tampering must be reported immediately and the affected display removed or disabled until verified.

9.6.Business responsibilities for physical QR displays

Business Customers must place QRs only at approved touchpoints, inspect them regularly, prevent misleading placement, remove obsolete materials and confirm that scans open the correct business, outlet and recipient experience.

9.7.Prohibited uses

Users must not misuse HappyTip, its accounts, QRs, payment flow or records.

  • Create fake staff profiles, fake transactions or self-Tips intended to manipulate records.
  • Divert Tips, impersonate another person or use another person’s KYC or banking information without authority.
  • Pressure Guests, make Tipping compulsory, harass users or publish unlawful or abusive content.
  • Engage in fraud, money laundering, transaction laundering or evasion of sanctions or payment controls.
  • Scrape, reverse engineer, probe, disrupt or circumvent security or access controls.

9.8.Prohibited business categories or activities

HappyTip must not be used for illegal goods, services or activity; deceptive or exploitative schemes; financial crime; or any category prohibited by applicable law, payment-partner rules or HappyTip’s documented risk policy. HappyTip may refuse onboarding or suspend use when a category is unsupported.

9.9.User-generated notes, reviews and feedback

Guests may be able to submit optional appreciation notes or feedback. Users are responsible for their content and must not include sensitive personal information, confidential information or content that violates another person’s rights.

9.10.Respectful-content requirements

Content must not be threatening, discriminatory, defamatory, obscene, sexually explicit, hateful, harassing, deceptive or unlawful. HappyTip may restrict or remove content and preserve evidence where required for safety, investigation or law.

9.11.Intellectual-property ownership

HappyTip and its licensors own the platform software, visual identity, designs, documentation, databases and other protected materials, excluding content owned by users or Business Customers.

9.12.Limited licence to use HappyTip

Subject to these Terms, HappyTip grants an active user a limited, revocable, non-exclusive, non-transferable right to use the enabled service for its intended lawful purpose. No ownership rights are transferred.

9.13.Business trademarks and uploaded content

A Business Customer retains its rights in authorised names, logos and content it provides and grants HappyTip a limited licence to host, reproduce and display them only as needed to provide, secure and support the service. The Business Customer confirms it has the required rights.

10.Privacy and data protection

Personal data is handled under the HappyTip Privacy Policy and applicable Indian law to the extent in force and applicable. Business Customers must provide required notices and obtain valid authority before supplying another person’s data.

10.1.Confidentiality

Each party must protect non-public business, technical, security and commercial information received through the relationship and use it only for authorised purposes, except where disclosure is required by law or an authorised adviser.

10.2.Communications and electronic notices

Users consent to receive service, account, transaction, security and legal communications electronically at registered contact details. Marketing messages require a separate lawful basis or optional consent and can be withdrawn using the stated method.

10.3.Service availability

HappyTip aims to provide a reliable service but does not guarantee that every payment, payout, QR, website page or feature will be continuously available, compatible or error-free.

10.4.Maintenance and technical interruptions

Planned maintenance, emergency work, internet outages, bank or UPI downtime, provider failures and security events may interrupt service. Where reasonable, HappyTip may communicate material planned interruptions.

10.5.Third-party services and links

HappyTip may link to or depend on payment applications, banks, review pages, hosting, communications or verification providers. Their services are governed by their own terms and privacy notices, and HappyTip is not responsible for matters outside its reasonable control.

10.6.Account suspension

HappyTip may temporarily restrict an account, QR, transaction or payout where reasonably necessary for security, fraud prevention, KYC, legal compliance, non-payment, a material breach or risk to another user. HappyTip will provide notice where lawful and practicable.

10.7.Account termination

A Business Customer may request closure subject to its agreement, outstanding matters and retention duties. HappyTip may terminate for serious or repeated breach, unlawful activity, payment or compliance risk, or discontinued service, with reasonable notice where appropriate.

10.8.Effect of termination

On termination, access rights end and QRs may be disabled. Accrued fees, valid payment adjustments, confidentiality, intellectual property, dispute, liability, indemnity and legally required data-retention provisions survive as applicable.

10.9.Outstanding payouts after termination

Valid outstanding amounts will be handled under the configured distribution model, completed KYC, payment-partner rules, dispute status and applicable law. Termination does not require release of funds subject to a lawful hold or unresolved ownership issue.

10.10.Disclaimers

HappyTip is provided with reasonable skill and care but may depend on information from Business Customers and third parties. Except for guarantees that cannot lawfully be excluded, HappyTip does not warrant uninterrupted availability, a particular business outcome or the accuracy of information supplied by others.

10.11.No guarantee of Tip amount or frequency

HappyTip does not guarantee that any Guest will Tip, that a Service Professional will receive a particular amount, or that use will improve revenue, ratings, retention or performance.

10.12.No employment, agency, partnership or fiduciary relationship

HappyTip is not the employer of a Service Professional merely because the person appears on or receives a Tip through the platform. HappyTip does not determine employment status. No agency, partnership, joint venture or fiduciary relationship is created unless expressly agreed in writing.

Tips do not replace wages, salary, statutory benefits, incentives, gratuity, service charges or other amounts a Business Customer is legally or contractually required to pay.

11.Limitation of liability

To the maximum extent legally permitted, each party’s liability should be proportionate to the loss reasonably caused by its breach. HappyTip is not liable for indirect or consequential loss that was not reasonably foreseeable, or for failures caused by banks, payment networks, Business Customer data or events outside reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence where applicable. Any final monetary cap must be approved in the governing commercial agreement and by Indian counsel.

11.1.Indemnity

A Business Customer will reasonably indemnify HappyTip against third-party claims and direct losses arising from information or content supplied without authority, unlawful Tip distribution, QR tampering under its control, employment obligations, or its material breach, subject to prompt notice, reasonable cooperation and control of defence. This clause does not cover loss caused by HappyTip’s own breach or misconduct.

11.2.Force majeure

Neither party is responsible for delay caused by events beyond reasonable control, such as natural disasters, widespread network failure, government action, civil disturbance, bank or payment-network outage, provided the affected party takes reasonable steps to reduce the impact.

11.3.Changes to the service

HappyTip may improve, replace or discontinue features for security, legal, operational or product reasons. Material changes affecting paid services should be communicated with reasonable notice where practicable.

11.4.Changes to fees

HappyTip may introduce optional paid services or revise fees after appropriate notice. A revised fee will not apply retroactively unless required to correct an error or by law. The amount shown during onboarding, checkout or in a separate written commercial agreement will apply.

11.5.Changes to these Terms

HappyTip may update these Terms to reflect legal, product or operational changes. The updated date and effective date will be shown. Where a change materially affects rights or obligations, reasonable advance notice or renewed acceptance will be sought where required.

11.6.Governing law

These Terms are governed by the laws of India, without limiting mandatory consumer rights or other protections that apply.

11.7.Dispute-resolution process

A user should first send a written complaint to support@kodlabs.in with relevant facts and transaction references. The parties should attempt good-faith resolution before formal proceedings, without preventing urgent relief or statutory remedies.

11.8.Arbitration or court jurisdiction

Any dispute not resolved through the complaint process may be brought before a court having jurisdiction under applicable Indian law. Nothing in these Terms limits a user’s right to approach a competent consumer forum or statutory authority.

11.9.Grievance and customer-support mechanism

Questions, payment issues and grievances may be sent to support@kodlabs.in or raised by calling +91 9317106575. The KODLABS PRIVATE LIMITED support team will acknowledge and address complaints within timelines applicable to HappyTip’s role and the type of issue.

11.10.Severability

If a provision is held invalid or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions continue to apply.

11.11.Waiver

A delay or failure to enforce a right is not a waiver. A waiver is effective only when clearly given by an authorised party and applies only to the stated circumstance.

11.12.Assignment

A user may not transfer its rights or obligations without consent. HappyTip may assign these Terms as part of a lawful restructuring, financing or business transfer, subject to applicable notice and data-protection duties.

11.13.Entire agreement

These Terms, the Privacy Policy, the applicable onboarding or commercial agreement, and clearly incorporated service-specific terms form the agreement for use of HappyTip. A negotiated written commercial agreement prevails to the extent of a direct conflict.
